Service Agreement

Effective Date: March 2026. This Service Agreement outlines the terms, scope, and deliverables of InteractXP's services. By subscribing to any service tier, you agree to the terms and conditions outlined below.

1. Scope of Services

InteractXP provides comprehensive restaurant marketing services including:

  • Google Business Profile optimization, management, and monthly updates
  • Social media content creation for Instagram, Facebook, and TikTok
  • Local SEO strategy, implementation, and monthly optimization
  • Reputation management including review monitoring and response
  • Multi-location management and coordination for restaurant chains
  • Monthly performance analytics and strategy reports
  • Content calendar planning and publication scheduling
  • Quarterly strategy calls and performance reviews

2. Service Tiers and Pricing

InteractXP offers three service tiers with the following features and pricing:

3. Client Responsibilities

To ensure successful delivery of services, you agree to:

  • Google Business Profile Access: Grant and maintain active access to your GBP account with administrative permissions
  • Social Media Access: Provide login credentials or admin access to all social media accounts requiring updates
  • Restaurant Information: Provide accurate, up-to-date information about your business, menu, hours, and promotions
  • Phone Number Management: Maintain a working phone number on your GBP and respond to customer inquiries
  • Timely Communication: Respond to our requests for approvals, feedback, and information within 5 business days
  • Content Approval: Review and approve content before publication; we will not publish unapproved material

4. Billing and Payment

Billing Cycle: Services are billed monthly in advance on the first day of each billing cycle. Annual prepayment options are available upon request with a 10% discount.

Payment Method: Invoices are sent via email and can be paid by credit card, bank transfer, or ACH. Payment is due within 30 days of invoice date.

Invoice Details: Each invoice includes a detailed breakdown of services rendered, dates of service, and pricing for that billing cycle.

Failed Payments: If your initial payment fails, we will notify you and retry up to three times over 10 days. Failure to remit payment may result in service suspension.

No Hidden Fees: The quoted price is the total amount due. There are no surprise fees, add-on charges, or hidden costs. Any additional services requested will be quoted separately.

5. Service Levels and Deliverables

Initial Setup (Weeks 1–2): Account audit, access verification, brand guidelines documentation, content calendar creation, and social media profile optimization.

Ongoing Monthly Deliverables: All service tiers include monthly GBP management updates, performance reporting, content creation and posting according to tier, and email support. Spark includes basic analytics; Ignite adds review management; Amplify includes advanced local SEO and dedicated account management.

6. Term and Cancellation

The initial service term begins on the date you subscribe and continues month-to-month thereafter. Either party may cancel with 30 days' written notice sent to hello@interactxp.com. Upon cancellation, services continue through the end of the current billing cycle. No refunds will be issued for unused portions of the current month. After cancellation, your account will transition to read-only access, and data will be retained for 90 days before deletion.

7. Intellectual Property

Client Owns: Your restaurant brand, logo, name, original photography, menu descriptions, and unique business information.

InteractXP Owns: Our platform, tools, templates, content frameworks, strategies, methodologies, and any proprietary systems developed for service delivery.

License: You grant InteractXP a non-exclusive, royalty-free license to use your information, content, and brand materials solely for the purpose of delivering services under this agreement. Upon cancellation, this license terminates.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information shared during the course of service, including business strategies, financial details, customer data, and our operational methods. InteractXP will not disclose your information to competitors or the public without your written consent, except as required by law or with our third-party service providers bound by confidentiality agreements.

9. Limitation of Liability

To the fullest extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunity, even if advised of the possibility of such damages. InteractXP's total liability is capped at the fees paid in the 12 months preceding the claim.

10. Modifications to Services

InteractXP may modify service offerings or features to improve service quality and functionality. We will provide notice of material changes. Significant pricing increases require 30 days' written notice, during which you have the right to cancel without penalty. Changes to this agreement will be communicated via email and posted on our website.

11. Entire Agreement

This Service Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and InteractXP regarding restaurant marketing services. This agreement supersedes all prior negotiations, representations, and agreements, whether written or oral, relating to the subject matter.
