Service Agreement

Effective Date: June 15, 2026. InteractXP (“we,” “us,” or “our”) is a brand operated by Chinedu G. Ezeofor, based in New York, NY. Parent company EzeFam Group LLC, registered at 28 Liberty Street, 42nd Floor-NY107, New York, NY 10005. This Service Agreement outlines the terms, scope, and deliverables of InteractXP's services. By subscribing to any service tier, you agree to the terms and conditions outlined below.

1. Scope of Services

InteractXP provides done-for-you marketing services for local restaurants. The five core service categories included in monthly tiers are:

  • Google Business Profile audits, optimization, and ongoing management
  • Reputation management with smart review routing, automated SMS review requests, branded review portal, and AI-assisted review responses (Ignite and Amplify)
  • AI phone system for inbound missed-call recovery and outbound calling (Ignite and Amplify)
  • SMS broadcast marketing campaigns (opt-in marketing texts)
  • Viral lead-generation giveaway campaigns

Each tier also includes performance reporting (monthly on Spark and Ignite; bi-weekly on Amplify).

Add-on services (available to clients on any tier, billed separately from the monthly subscription):

  • AI Chatbot — homepage: $97/month, 1,500 messages/month. EzeChats white-label of Aminos.ai. Embedded on your homepage.
  • AI Chatbot — homepage + 1 landing page: $147/month, 3,000 messages/month. Best paired with our lead-generation giveaway campaigns.
  • Extra chatbot landing page: +$47/month each.
  • Social Captions + Scheduling: $297/month on Spark; included on Ignite (1 platform) and Amplify (Instagram + Facebook + TikTok). You supply photos; we write captions in your voice and schedule them at peak engagement times. We do not shoot original photography under this service.
  • Email Marketing (Brevo): $147/month. We draft and send branded email campaigns as your restaurant to your own customer list.
  • White-label Chatbot Branding: $50 one-time. Removes the “powered by InteractXP / EzeChats” branding from the chatbot widget.
  • Review Repair / Experience Recovery: quoted on request, per-incident or monthly. We engage unsatisfied customers to repair the experience; we do not remove or hide existing public reviews.
  • Extra Viral Giveaway: $197 each, beyond your tier quota.
  • Custom Landing Page: $497 one-time + $47/month hosting, for a bespoke landing page beyond your giveaway quota.
  • Discord server white-glove setup: quoted on request (Amplify only).

2. Service Tiers and Pricing

InteractXP offers a one-time audit and three monthly service tiers. The features below mirror the deliverables described in §2 (Description of Services) of our Terms of Service.

Discord support within the same business day; email within the same business day. Additional locations beyond the included 3 billed at +$497/month each, up to 8 included before custom enterprise pricing applies.

Initial Setup Fee: A one-time tier-scaled setup fee applies to all new monthly subscriptions and covers tech configuration only — branded review portal setup, GBP setup, and (Ignite/Amplify) AI Phone agent training and AI review-response voice training. Spark $97 · Ignite $197 · Amplify $397.Tier upgrades by existing clients do not incur a new setup fee. The $147 GBP Audit & Action Plan remains a separate, optional one-time charge. Add-on services (chatbot, social, email marketing, etc.) are billed separately from the tier subscription and may include their own one-time onboarding costs disclosed at purchase.

Per-location pricing: Each tier includes a baseline number of locations (Spark: 1, Ignite: 1, Amplify: 3). Additional locations are billed monthly per-location at the tier rate disclosed in the table above. Multi-location pricing entitles you to per-location GBP management, review portal, and reporting; AI Phone minutes and SMS broadcasts remain pooled across your included locations at the tier total.

Founding Member Offer: The first 10 paying clients to subscribe to any monthly tier receive (1) their tier's initial setup fee waived ($97–$397 depending on tier), (2) their monthly tier price locked for 24 months from the subscription start date, and (3) if they opt into the AI Chatbot add-on, the chatbot add-on monthly fee waived for 24 months (one chatbot configuration of their choosing — homepage only, or homepage + 1 landing page). After 10 founders, the standard tier setup fee and standard add-on pricing apply for new sign-ups. Founding-member status is non-transferable and the 24-month perks expire at the 24-month mark even if the subscription continues.

Reviews and feedback routing. Our reputation management uses a transparent triage workflow: satisfied customers are offered a fast path to leave a public review on Google, Yelp, or another third-party platform, while unsatisfied customers are offered a fast path to send private feedback directly to the restaurant. The customer always retains full ability to post a public review on any third-party platform. We do not prevent, suppress, hide, or remove existing reviews; restaurants receive all feedback regardless of star rating. Our optional review-repair add-on engages unsatisfied customers to repair the experience; it does not remove existing public reviews. This triage workflow is consistent with the FTC Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465).

SMS messaging and TCPA compliance.All SMS sent through InteractXP's compliance pipeline (Twilio) requires prior express written consent from the recipient. Each campaign is registered through the carrier's 10DLC program. Messages identify the brand, include “Reply STOP to opt out” and “Msg & data rates may apply,” and disclose expected frequency. STOP requests are honored within the time required by the FCC's revised opt-out rules. Bulk broadcast SMS is delivered through RockstarSMS / “Easy Text.” You — the restaurant client — must collect and maintain proof of consent for every phone number on which we contact a customer on your behalf, and provide that proof on request.

AI-handled inbound calls. Where InteractXP routes inbound calls to its AI phone agent (Thoughtly), the call is handled by an automated assistant and may be recorded for quality and training purposes. The automated nature of the call and the recording are disclosed at the start of the call as required by applicable state law (including all-party-consent states such as CA, CT, DE, FL, IL, MD, MA, MT, NV, NH, PA, WA). Callers may request a human at any time.

3. Client Responsibilities

To ensure successful delivery of services, you agree to:

  • Google Business Profile Access: Grant and maintain active access to your GBP account with administrative permissions
  • Social Media Access (Ignite/Amplify or Spark + social add-on): Provide login credentials or admin access (or a Meta Business / TikTok partner-account invitation) for the platforms covered by your tier or add-on
  • Photo and Asset Provision (social captions + scheduling): Supply original photographs and any other visual assets needed for scheduled posts. We do not shoot original photography under the social add-on; we work with photos you provide
  • Restaurant Information: Provide accurate, up-to-date information about your business, menu, hours, and promotions
  • Past-Customer Contacts (Spark Review-Activity Guarantee): If electing to claim the Spark Review-Activity Guarantee, provide at least 150 TCPA-compliant past-customer contact records within 7 days of subscription start
  • Phone Number Management: Maintain a working phone number on your GBP and respond to customer inquiries
  • Timely Communication: Respond to our requests for approvals, feedback, and information within 5 business days; review-response approvals within 3 business days
  • Content Approval: Review and approve content before publication; we will not publish unapproved material

4. Billing and Payment

Billing Cycle: Services are billed monthly in advance on the first day of each billing cycle. Annual prepayment options are available upon request with a 10% discount.

Payment Method: Invoices are sent via email and can be paid by credit card, bank transfer, or ACH. Payment is due within 30 days of invoice date.

Invoice Details: Each invoice includes a detailed breakdown of services rendered, dates of service, and pricing for that billing cycle.

Failed Payments: If your initial payment fails, we will notify you and retry up to three times over 10 days. Failure to remit payment may result in service suspension.

No Hidden Fees: The quoted price is the total amount due. There are no surprise fees, add-on charges, or hidden costs. Any additional services requested will be quoted separately.

5. Service Levels and Deliverables

Initial Setup (Weeks 1–2): Account audit, access verification, brand guidelines documentation, automated review request configuration, branded review portal setup, and (Ignite/Amplify) AI Phone agent training and AI review-response voice training. AI chatbot training and embed is performed only when the chatbot add-on is purchased.

In summary: Spark provides the reputation foundation (GBP audit + setup, review requests, branded portal, 1 quarterly giveaway, 300 SMS broadcasts/month, monthly reporting); Ignite adds the AI Phone System (500 mins/month), AI-assisted review responses, ongoing weekly GBP posts, monthly giveaways, 750 SMS broadcasts/month, social captions + scheduling on one platform, and webhook data export; Amplify adds advanced GBP (Q&A monitoring), 1,500 mins/month AI Phone, monthly + quarterly mega giveaways, 1,500 SMS broadcasts/month, social captions + scheduling on three platforms, private 1:1 Discord channel with the founder, 60-day promotional calendar, bi-weekly reporting, and access to our Discord server template library.

Support Channels and Response SLAs: All paying clients receive support via Discord and email. Discord is the primary, faster-resolution channel. Spark: Discord within 2 business days, email within 3 business days. Ignite: Discord within 1 business day, email within 2 business days. Amplify: Discord and email within the same business day.

Spark Review-Activity Guarantee: If we do not generate at least 8 new published reviews across your enrolled review platforms within your first 60 days on Spark, we will continue working at no additional charge until that threshold is met or 90 days have elapsed from the subscription start date, whichever comes first. This guarantee is conditioned on you providing at least 150 past-customer contact records (phone numbers and/or emails, TCPA-compliant where used for SMS) within 7 days of subscription start, maintaining valid Google Business Profile administrator access for the duration, and approving review request copy within 3 business days of submission. If those conditions are not met, the guarantee is void but the subscription continues under its standard terms.

6. Term and Cancellation

The initial service term begins on the date you subscribe and continues month-to-month thereafter. Either party may cancel with 30 days' written notice sent to support@interactxp.com. Upon cancellation, services continue through the end of the current billing cycle. No refunds will be issued for unused portions of the current month. After cancellation, your account will transition to read-only access, and data will be retained for 90 days before deletion.

7. Intellectual Property

Client Owns: Your restaurant brand, logo, name, original photography, menu descriptions, and unique business information.

InteractXP Owns: Our platform, tools, templates, content frameworks, strategies, methodologies, and any proprietary systems developed for service delivery.

License: You grant InteractXP a non-exclusive, royalty-free license to use your information, content, and brand materials solely for the purpose of delivering services under this agreement. Upon cancellation, this license terminates.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information shared during the course of service, including business strategies, financial details, customer data, and our operational methods. InteractXP will not disclose your information to competitors or the public without your written consent, except as required by law or with our third-party service providers bound by confidentiality agreements.

9. Limitation of Liability

To the fullest extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunity, even if advised of the possibility of such damages. InteractXP's total liability for any claim arising from the use of our Services is limited to the amount you paid us in the 30 days preceding the claim. This limitation does not apply to liability arising from gross negligence, willful misconduct, or fraud, which shall not be subject to this limitation. This section is consistent with Section 5 (Limitation of Liability) of our Terms of Service.

10. Modifications to Services

InteractXP may modify service offerings or features to improve service quality and functionality. We will provide notice of material changes. Significant pricing increases require 30 days' written notice, during which you have the right to cancel without penalty. Changes to this agreement will be communicated via email and posted on our website.

11. Entire Agreement

This Service Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and InteractXP regarding restaurant marketing services. This agreement supersedes all prior negotiations, representations, and agreements, whether written or oral, relating to the subject matter.

12. Governing Law & Venue

This Service Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. The governing-law and exclusive-forum provisions set out in Section 12 of our Terms of Service are incorporated into this Service Agreement by reference and apply to any dispute arising under it.
